These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("Client", "you", or "your") and Motion World Connect (Pty) Ltd (Registration No. pending), a company incorporated under the laws of the Republic of South Africa ("Motion World Connect", "we", "us", or "our"). By submitting the application form on this page, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

1. Nature of Services

Motion World Connect provides business consulting, capital facilitation advisory, regulatory readiness assessments, and strategic partner connection services ("Services"). We do not provide legal, tax, accounting, or financial advice as defined under the Financial Advisory and Intermediary Services Act 37 of 2002 ("FAIS"). Nothing in this Agreement or in any communication from Motion World Connect constitutes a guarantee of funding, investment, or any specific business outcome.

2. Eligibility

By submitting this application you confirm that: (a) you are at least 18 years of age; (b) you are duly authorised to act on behalf of the business entity you represent; (c) all information provided is accurate, complete, and not misleading; and (d) your business is formally registered with the Companies and Intellectual Property Commission ("CIPC") or an equivalent regulatory body.

3. Collection and Processing of Personal Information — POPIA Compliance

Motion World Connect is committed to processing personal information in accordance with the Protection of Personal Information Act 4 of 2013 ("POPIA") and the regulations promulgated thereunder. By submitting this form, you expressly consent to the collection, processing, storage, and use of the following categories of information:

  • Identity information: full name, identity number, passport number, directorship details, and beneficial ownership information.
  • Contact information: email address, telephone number, physical and postal address.
  • Business information: company registration number, CIPC documents, business plan, financial projections, management accounts, audited financial statements, bank statements (minimum 6 months), tax clearance certificates, BEE certificates, CIDB grading certificates, PSIRA registrations, DMRE licences, and any other sector-specific compliance documentation.
  • Financial information: revenue figures, funding requirements, existing debt obligations, shareholder loan accounts, and asset schedules.
  • Operational information: industry sector, number of employees, geographic footprint, existing contracts, and procurement pipeline.
  • Communication records: all correspondence, meeting notes, proposals, and engagement history between you and Motion World Connect.

Purpose of Processing: Your information is processed for the purposes of: conducting feasibility and compliance assessments; preparing consulting proposals and business advisory reports; facilitating introductions to our strategic partner network; complying with applicable laws and regulatory requirements; improving our services; and communicating with you regarding your application and engagement.

Lawful Basis: Processing is conducted on the basis of your consent (as given herein), the performance of a contract to which you are party, compliance with a legal obligation, and the legitimate interests of Motion World Connect.

Data Retention: We retain your personal information for a minimum of five (5) years from the date of last engagement, or for such longer period as may be required by applicable law, including the Companies Act 71 of 2008 and the Tax Administration Act 28 of 2011.

Your Rights under POPIA: You have the right to: (a) request access to your personal information; (b) request correction or deletion of inaccurate information; (c) object to the processing of your personal information; (d) withdraw consent at any time (subject to lawful processing grounds); and (e) lodge a complaint with the Information Regulator of South Africa at www.justice.gov.za/inforeg. 4. Sharing of Information with Third Parties

Motion World Connect may share your information with carefully selected third parties solely for the purposes described in clause 3, including: strategic partners within our network (subject to confidentiality obligations); regulatory bodies and government agencies where required by law; professional service providers (legal, accounting, compliance) engaged to assist in your matter; and technology service providers who process data on our behalf under binding data processing agreements. We do not sell your personal information to any third party.

5. Confidentiality

Both parties agree to treat all non-public information shared during the engagement as strictly confidential. Motion World Connect will not disclose your confidential business information to any party outside the scope of the Services without your prior written consent, except as required by law or court order. This obligation survives termination of this Agreement for a period of three (3) years.

6. Consumer Protection Act Compliance

To the extent that the Consumer Protection Act 68 of 2008 ("CPA") applies to this Agreement, you are entitled to the protections afforded thereunder, including the right to fair, honest, and reasonable dealing; the right to disclosure of material information; and the right to cancel fixed-term agreements subject to the notice provisions set out in your subscription agreement. Nothing in this Agreement limits or excludes any right you may have under the CPA.

7. Electronic Communications and Transactions

This Agreement is concluded electronically and is valid and binding in terms of the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"). By ticking the acceptance checkbox and submitting the form, you affix your electronic signature to this Agreement, which shall have the same legal force and effect as a handwritten signature.

8. Accuracy of Information

You warrant that all information submitted through this form and any subsequent documentation is true, accurate, complete, and not misleading. You acknowledge that Motion World Connect relies on the accuracy of such information in providing the Services. Any misrepresentation may result in immediate termination of the engagement and may give rise to legal liability.

9. No Guarantee of Outcome

Motion World Connect does not guarantee any specific outcome, including but not limited to the securing of funding, approval of applications, or successful connection with strategic partners. Our Services are advisory and facilitative in nature. All decisions regarding funding, investment, or partnership remain at the sole discretion of the relevant third parties.

10. Intellectual Property

All reports, proposals, assessments, templates, methodologies, and materials produced by Motion World Connect in the course of providing the Services remain the intellectual property of Motion World Connect unless otherwise agreed in writing. You are granted a limited, non-exclusive, non-transferable licence to use such materials solely for your internal business purposes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Motion World Connect's aggregate liability to you for any claim arising out of or in connection with this Agreement shall not exceed the total fees paid by you to Motion World Connect in the three (3) months preceding the event giving rise to the claim. Motion World Connect shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profit, loss of business opportunity, or reputational harm.

12. Indemnity

You indemnify and hold harmless Motion World Connect, its directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including legal fees on an attorney-and-own-client scale) arising from: (a) your breach of this Agreement; (b) any inaccuracy or misrepresentation in information you have provided; or (c) your violation of any applicable law or third-party rights.

13. Termination

Either party may terminate the engagement by providing written notice. Upon termination, all outstanding fees become immediately due and payable. Clauses relating to confidentiality, intellectual property, limitation of liability, indemnity, and governing law shall survive termination.

14. Amendments

Motion World Connect reserves the right to amend these Terms and Conditions at any time. Material changes will be communicated to you via email or through our website at least 20 (twenty) business days before taking effect, in accordance with the CPA. Continued use of our Services after such notice constitutes acceptance of the amended terms.

15. Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within 20 (twenty) business days, the dispute shall be referred to mediation under the auspices of the Arbitration Foundation of Southern Africa ("AFSA"). If mediation fails, the dispute shall be finally resolved by arbitration in terms of the AFSA rules, with the seat of arbitration in Johannesburg, South Africa. Nothing herein prevents either party from seeking urgent relief from a competent court.

16. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties consent to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg, for any matter not subject to arbitration.

17. Whole Agreement

This Agreement, together with any subscription agreement, proposal, or engagement letter issued by Motion World Connect, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, warranties, and understandings.

18. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the Agreement and the remaining provisions shall continue in full force and effect.
